# Realclaw Terms and Conditions **Effective Date: 13 Apr 2026** ## 1. Introduction These Terms and Conditions (the "**Terms**" or this "**Agreement**") govern your access to and use of RealClaw, an AI agent service that automates on-chain transactions through natural language commands (the "**Service**"), provided by Terra Tech Limited (the "**Company**", "**we**", "**us**" or "**our**"). These Terms form a binding agreement between the Company and you, as an individual user ("**you**", "**your**" or "**User**"). These Terms are supplemental to and form part of the Byreal Terms and Conditions (the "**Byreal Terms**"). Capitalised terms used in these Terms are defined in Section 25 or, if not defined therein, have the meaning given in the Byreal Terms. In the event of conflict between these Terms and the Byreal Terms, these Terms shall prevail with respect to the use of RealClaw. By accessing, using or continuing to use RealClaw, you acknowledge that you have read, understood, and agreed to be bound by these Terms and the Byreal Terms, along with our Privacy Policy. If you do not agree to these Terms, you must immediately cease using RealClaw. ## 2. Disclaimer REALCLAW IS PROVIDED "AS IS", AT YOUR OWN RISK, AND WITHOUT WARRANTIES OF ANY KIND. The Company does not control the underlying blockchain protocols or any transactions conducted via smart contracts. By using or accessing RealClaw, you agree that to the maximum extent permitted by applicable law, no developer or entity involved in creating, deploying or maintaining RealClaw will be liable for any claims or damages whatsoever associated with your use, inability to use, or your interaction with other users of, the Service, including any direct, indirect, incidental, special, exemplary, punitive or consequential damages, or loss of profits, Digital Assets, or anything else of value. YOU ACKNOWLEDGE THAT WE ARE NOT RESPONSIBLE FOR ANY OF THESE VARIABLES OR RISKS, DO NOT OWN OR CONTROL THE UNDERLYING PROTOCOLS, AND CANNOT BE HELD LIABLE FOR ANY RESULTING LOSSES THAT YOU EXPERIENCE WHILE ACCESSING OR USING THE SERVICE. ACCORDINGLY, YOU UNDERSTAND AND AGREE TO ASSUME FULL RESPONSIBILITY FOR ALL OF THE RISKS OF ACCESSING AND USING REALCLAW. **No Advisory or Portfolio Management Service.** RealClaw is an execution tool, not an advisory, portfolio management, or asset management service. Where RealClaw appears to suggest or recommend a course of action, such output may be generated algorithmically, may be in error or hallucination, and does not constitute advice. Nothing on the Service shall constitute or be construed as a recommendation, endorsement, offer, invitation or solicitation to enter into any transaction with or purchase any Digital Asset. You must not treat any AI output as advice or rely on it without exercising your own independent judgment. **No Professional or Investment Advice.** The Service is not intended to provide tax, legal, insurance or investment advice, and nothing provided through the Service should be construed as an offer to sell, a solicitation of an offer to buy, or a recommendation for any Digital Asset by the Company. You alone are solely responsible for determining whether any investment, strategy, or any other product or service is appropriate or suitable for you based on your objectives and financial situation. You should consult an attorney or tax professional regarding your specific legal or tax situation. You agree and understand that: (a) all transactions you submit through the Service are considered unsolicited, which means that they are solely initiated by you; (b) you have not received any investment advice from us in connection with any transactions; and (c) we do not conduct a suitability review of any transactions you submit. **No Agency Relationship.** Nothing in these Terms shall be construed as creating any agency, partnership, or fiduciary relationship between you and the Company. The Agent operates solely as a tool executing user-initiated instructions and does not act on your behalf in any legal or discretionary capacity. ## 3. Eligibility You must be at least the age of majority in your jurisdiction (e.g., eighteen (18) years old) and have the full right, power, and authority to enter into and comply with the terms and conditions of this Agreement. If you are entering into this Agreement on behalf of an entity, you represent that you have the legal authority to bind such entity. RealClaw is subject to the same eligibility requirements and Prohibited Jurisdictions as set out in the Byreal Terms, including restrictions on users located in, incorporated in, or citizens or residents of jurisdictions subject to sanctions enforced by the United States (OFAC), the European Union, the United Nations, or the United Kingdom. You represent and warrant on an ongoing basis that you are not located in any Prohibited Jurisdiction and are not subject to sanctions or otherwise designated on any list of Prohibited Parties. The Company reserves the right to adjust eligibility requirements at any time, with or without notice. We have the sole discretion to accept or reject your registration with the Service. ## 4. Service Overview RealClaw is an AI agent that interprets your natural language Prompts and executes on-chain transactions on Supported Blockchains through modular Skills. The Agent is powered by Third-Party LLMs, constructs unsigned transaction payloads, and submits them for signing through your Privy Wallet. Each interaction consumes Credits. You must complete the onboarding process as described on our website, including creation of a Privy Wallet and connection of a Communication Channel. Only one RealClaw account may be created per User unless otherwise permitted. The Service operates as described in the product documentation available on our website, which is incorporated herein by reference. In the event of conflict between the product documentation and these Terms, these Terms shall prevail. **Beta Notice.** RealClaw may be offered in beta, early access, or preview form. Beta features may be unstable, contain bugs, or be modified or discontinued at any time without notice. Your use of any beta feature is at your own risk, and the Company makes no guarantees regarding the availability, reliability, or continued operation of beta features. ## 5. Non-Custodial Nature RealClaw is a non-custodial service. We do not hold, control, or have access to your private keys, seed phrases, or Digital Assets at any time. All transactions are constructed by the Agent as unsigned payloads and signed through your Privy Wallet — the Company never touches your keys. We accept no responsibility for, or liability to you, in connection with your use of a wallet and make no representations or warranties regarding how the Service will operate with any specific wallet. Your Privy Wallet is provided by Privy, Inc. ("**Privy**"), a third-party embedded wallet provider. The Company does not develop, operate, control, or audit Privy's infrastructure. Your use of the Privy Wallet is subject to Privy's own terms of service and privacy policy. The Company makes no representation or warranty regarding the security, availability, or continued operation of Privy's services. In the event that Privy experiences downtime, security breaches, discontinuation of service, or changes to its terms, the Company shall not be liable for any resulting loss of access to your wallet or Digital Assets. You are solely responsible for the security of your Privy Wallet, your Communication Channel credentials (including but not limited to Telegram Bot Tokens), and your associated accounts. We accept no responsibility for wallet compromise, key loss, or third-party infrastructure failures. This Agreement is not intended to, and does not, create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated. For the avoidance of doubt, no Digital Assets at any time form part of the Company’s assets, estate, or property, including in the event of insolvency. ## 6. Credits Credits are consumed as the Agent processes your instructions and executes transactions. Credit allocations, pricing, and replenishment mechanisms are as published on the Console and may change at any time. Credits are non-transferable, have no monetary value, and, to the extent permitted by applicable law, are non-refundable and non-redeemable. **When Credits run out**, the Agent stops executing new strategies and transactions. Active strategies and open positions are no longer managed by the Agent. You remain solely responsible for manually managing any open positions. The Company is not liable for losses arising from unmanaged positions due to Credit exhaustion. **Rescue Credits.** The Company may, at its sole discretion, provide a limited one-time Rescue Credit allocation for the purpose of closing active strategies. Rescue Credits are not guaranteed, and the Company may modify or discontinue this mechanism at any time without notice. You are solely responsible for monitoring your Credit usage and managing your strategies in anticipation of Credit exhaustion. ## 7. Automated Execution Once you activate a strategy or issue an instruction, the Agent may execute transactions automatically without per-transaction confirmation. All transactions executed through the Service are final and irreversible once confirmed on-chain and cannot be cancelled, modified, or reversed by the Company under any circumstances. The Company does not offer refunds or reversals under any circumstances, including but not limited to user error or AI misinterpretation. You acknowledge and accept that: * The Agent acts based on AI interpretation of your Prompts and configured parameters. It may misinterpret your instructions, select an incorrect Skill, execute with unintended parameters, or take actions you did not contemplate. The Company is not liable for any losses arising from the Agent's interpretation or misinterpretation of your Prompts, regardless of cause. * The Company does not review, approve, or monitor individual AI-generated transactions before execution. * All trading is live, with real funds. There is no simulated, demo, or testnet environment. * You are responsible for setting appropriate risk parameters and monitoring the Agent's actions. ## 8. Emergency Halt and Strategy Termination You may halt the Agent or terminate active strategies at any time through the mechanisms provided by the Service. Upon halting: * The Agent will stop initiating new transactions. However, transactions already submitted to the blockchain cannot be recalled or reversed. * Open positions are not automatically closed. You are solely responsible for managing and closing any remaining positions. * The Company is not liable for losses arising from the time between your halt instruction and the Agent's cessation of activity, or from open positions that remain after halting. The Company reserves the right to halt or suspend the Agent at any time for security, compliance, or operational reasons, with or without notice. In such cases, the same provisions regarding open positions apply. You acknowledge that there may be latency between issuing a halt instruction and execution of such instruction by the Agent. ## 9. Gas Fees Blockchain transactions require the payment of transaction fees to the appropriate network ("**Gas Fees**"). You will be solely responsible to pay the Gas Fees for any transaction initiated through the Service. Gas Fees are separate from Credits and are not controlled by the Company. ## 10. Skills All Skills are provided on an “as is” basis and used at your own risk. ### Company-Provided Skills RealClaw includes pre-loaded Company-Provided Skills developed or approved by the Company. Skills may be updated, added, or removed at any time without notice. The Company does not guarantee that any Skill is free of bugs, errors, or vulnerabilities. **The Company shall not be liable for any losses, damages, or unintended outcomes arising from the operation, malfunction, or failure of any Company-Provided Skill, including but not limited to incorrect transaction parameters, failed executions, or unfavourable trading outcomes.** The availability of a Skill does not constitute an endorsement, recommendation, or guarantee of any particular outcome. ### User-Imported Skills RealClaw is built on an open framework that allows you to import your own Skills or third-party Skills. User-Imported Skills are **not** provided, reviewed, endorsed, audited, or supported by the Company. You accept sole and exclusive responsibility for all outcomes arising from User-Imported Skills, including trading losses. The Company shall not be liable for any damages arising from User-Imported Skills. ## 11. Third-Party LLMs RealClaw uses Third-Party LLMs that are not developed, trained, controlled, or audited by the Company. The specific LLM providers used by RealClaw may change at any time without notice. Third-Party LLMs may produce inaccurate, misleading, or fabricated outputs ("**hallucinations**"), including misinterpretation of market data or trading parameters, which may result in incorrect trades with real funds. The Company has no contractual relationship with LLM providers that would benefit you, cannot guarantee LLM availability or accuracy, and makes no representation or warranty as to the suitability or safety of any Third-Party LLM. The availability of Third-Party LLMs may be affected by outages, latency, rate limiting, content policy changes, or discontinuation by the provider. Your use of a Third-Party LLM through RealClaw is at your own risk. The Company is not responsible for any use, storage, or processing of data by Third-Party LLM providers. The Company has no obligation to monitor, update, or respond to risks arising from any Underlying Protocol. **Model changes.** The Company may change, add, or remove Third-Party LLM providers at any time. Where practicable, we will provide advance notice of material changes. However, changes may be made without notice where required for security, compliance, or operational reasons. ## 12. Underlying Protocols RealClaw interacts with third-party decentralised protocols (the "**Underlying Protocols**") to execute on-chain operations. The Company does not develop, own, operate, control, or audit any Underlying Protocol. The Company makes no representation or warranty regarding the security, accuracy, availability, or continued operation of any Underlying Protocol or its smart contracts. By interacting with Underlying Protocols through the Service, you acknowledge that your transactions are executed directly via smart contracts on the underlying blockchain network. **The Company shall not be liable for any losses arising from bugs, exploits, hacks, governance actions, liquidity crises, oracle failures, or any other event affecting an Underlying Protocol**, whether or not such protocol is integrated into a Company-Provided Skill. Your interaction with Underlying Protocols through RealClaw is at your own risk. ## 13. User Responsibilities You are solely responsible for: * the security of your Privy Wallet, Communication Channel credentials, and account credentials; * the accuracy and appropriateness of instructions given to the Agent; * monitoring your positions, Credit balance, and the Agent's actions; * ensuring the accuracy of transaction details; * configuring appropriate risk parameters; and * complying with all applicable laws and regulations, including tax reporting obligations arising from transactions executed through the Service. You shall not use RealClaw to: * facilitate illegal activities or violate applicable law; * manipulate the Agent to exploit protocols or other users; * conduct wash trading, market manipulation, or deceptive practices; * introduce malicious code, software viruses, or attempt unauthorized access; * override safety filters or prompt-engineer around safeguards; * circumvent Credit limits or eligibility restrictions through multiple accounts; * reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of RealClaw; * harvest or collect information about other Users without their express consent; or * conduct frequent, intensive automated interactions using unauthorized tools or scripts. We reserve the right, but do not have the obligation, to restrict or terminate your access if we reasonably believe you are engaged in prohibited activity. ## 14. Communication Channels You interact with the Agent through one or more Communication Channels (such as Telegram bots, web interfaces, or other messaging platforms as supported by the Service). The Company provides the backend Agent service that the Communication Channel connects to. You are solely responsible for the creation, configuration, security, and management of your Communication Channel, and for compliance with the respective platform's terms of service. The Company does not control your Communication Channel settings and is not liable for losses arising from channel compromise, platform failures, or unauthorized access to your accounts on third-party platforms. **The Company is not liable for any transactions or actions executed by the Agent as a result of instructions received through a compromised Communication Channel**, regardless of whether such instructions were authorised by you. You are solely responsible for preventing unauthorized access to your Communication Channel. ## 15. Forks In the event of a blockchain split or "fork" involving any Digital Asset supported by the Service, the Company reserves the sole discretion to determine which forked chain (if any) will be supported. We have no obligation to support or distribute assets from either chain and will not be liable for any loss of value or access as a result of such events. ## 16. Data and Privacy Your Prompts, AI outputs, and transaction data are processed in accordance with the Byreal Privacy Policy. **Data transmitted to Third-Party LLM providers.** Your Prompts are transmitted to Third-Party LLM providers for processing. Such providers may be located in jurisdictions outside your country of residence. The Company does not control how LLM providers process, store, or retain data. You should not include sensitive personal data of third parties in your Prompts. **Transaction and usage data.** The Company may collect and process transaction logs, execution history, and usage data for service improvement, security monitoring, and compliance purposes. **Data deletion.** You may request deletion of your personal data by contacting us at the contact details published on our website. Such requests will be processed in accordance with applicable data protection laws. Certain data may be retained where required by law or for legitimate business purposes. ## 17. Intellectual Property All title, ownership rights, and intellectual property rights in or relating to RealClaw, including the Agent, Company-Provided Skills, and the underlying software, will remain with the Company or its licensors. Nothing in the Service will be construed as conferring on any User any license, save as expressly set out herein, of any of the Company's or any third party's intellectual property rights, whether by estoppel, implication or otherwise. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not modify, reproduce, reverse-engineer, or create derivative works of the Service. You retain ownership of your Digital Assets. Nothing in these Terms transfers any right, title, or interest in your Digital Assets to the Company. You grant the Company a perpetual, royalty-free, worldwide licence to use anonymised and aggregated data derived from your use of RealClaw for the purpose of improving our products and services. ## 18. Risk Disclosure By using RealClaw, you acknowledge and accept the following risks, and **you assume all risk of loss** associated with your use of the Service. This is not an exhaustive list: * AI risk. The Agent may misinterpret instructions, hallucinate, or produce erroneous outputs that lead to incorrect trades with real funds. * Market risk. Digital asset prices are highly volatile and may result in significant or total loss. You acknowledge that an investment in any Digital Asset is subject to a number of risks. * Smart contract risk. Underlying Protocols rely on smart contracts that may contain bugs or be subject to exploits. The Company does not control or modify the execution of such contracts once deployed. * Automated execution risk. Trades execute automatically without per-transaction confirmation. The Agent may execute trades you did not intend, at prices you did not expect. * MEV and front-running risk. On-chain transactions may be observed by third parties before confirmation. Your transactions may be subject to sandwich attacks, front-running, or other forms of Maximal Extractable Value (MEV) extraction, resulting in worse execution prices or additional losses. * Impermanent loss risk. Providing liquidity to automated market makers may result in impermanent loss, where the value of your deposited assets decreases relative to holding them outside the pool. * Credit exhaustion and position closure risk. When Credits run out or the Service is terminated, the Agent stops but does not auto-close positions. Open positions may remain unmanaged. * LLM risk. Third-Party LLMs may hallucinate, fabricate data, or become unavailable. The Company has no control over LLM quality or uptime. * Depeg risk. Stablecoins may lose their peg, causing losses to yield strategies. * Copy trading risk. Copied Farmers' strategies may change or fail. Past performance does not guarantee future results. * Skill risk. Both Company-Provided and User-Imported Skills may contain bugs, malfunction, or execute unintended trades. The Company is not liable for outcomes arising from any Skill. * Wallet and custody infrastructure risk. Loss of access to your Privy Wallet, credential compromise, or failures in Privy's infrastructure may result in permanent loss of assets. * Network risk. Blockchain congestion, outages, or forks may prevent or delay transactions. * Oracle risk. The Service may rely on third-party price oracles. The Company does not guarantee the accuracy or timeliness of such data and shall not be liable for any losses arising from oracle manipulation or failure. * Underlying Protocol risk. Third-party protocols integrated into RealClaw may suffer exploits, governance changes, liquidity crises, or discontinuation. * Tax risk. Automated transactions may create complex tax events. The Company does not provide tax advice and is not responsible for your tax obligations. * Communication Channel risk. Compromise of your Communication Channel may result in unauthorized instructions being executed by the Agent. You assume full responsibility for all risks of using RealClaw. ## 19. Limitation of Liability You expressly agree that you assume all risks in connection with your access and use of the Service. You further expressly waive and release us from any and all liability, claims, causes of action, or damages arising from or in any way relating to your use of the Service. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, LICENSORS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF REALCLAW, INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM: * AUTOMATED EXECUTION OF TRANSACTIONS; * AI ERRORS, MISINTERPRETATION OF PROMPTS, OR HALLUCINATIONS; * BUGS, ERRORS, OR VULNERABILITIES IN COMPANY-PROVIDED OR USER-IMPORTED SKILLS; * THIRD-PARTY LLM FAILURES, OUTAGES, OR DISCONTINUATION; * UNDERLYING PROTOCOL EXPLOITS, BUGS, OR GOVERNANCE ACTIONS; * PRIVY INFRASTRUCTURE FAILURES OR SECURITY BREACHES; * CREDIT EXHAUSTION AND RESULTING UNMANAGED POSITIONS; * MEV EXTRACTION, FRONT-RUNNING, OR SANDWICH ATTACKS; * ORACLE FAILURES OR PRICE FEED MANIPULATION; * UNAUTHORIZED INSTRUCTIONS VIA COMPROMISED COMMUNICATION CHANNELS; OR * ANY OTHER PARTY'S ACCESS AND USE OF THE SERVICE WITH YOUR ASSISTANCE OR USING ANY DEVICE OR WALLET THAT YOU OWN OR CONTROL. IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN CONNECTION WITH THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS (US$100), WHICHEVER IS LESS. We make no warranties or representations, express or implied, about linked third-party services, the third parties they are owned and operated by, the information contained on them, or assets available through them. You acknowledge sole responsibility for and assume all risk arising from your use of third-party services, third-party websites, applications, or resources. NOTHING IN THESE TERMS EXCLUDES OR LIMITS THE COMPANY'S LIABILITY FOR FRAUD, WILFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW. NO REFUNDS ARE PROVIDED FOR ANY TRANSACTIONS EXECUTED THROUGH THE SERVICE. ## 20. Indemnification You agree to hold harmless, release, defend, and indemnify the Company, our affiliates and our and our affiliates' respective officers, directors, employees, contractors, agents, service providers, licensors, and representatives (collectively, the "**Indemnified Parties**") from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or relating to: (a) your access and use of the Service; (b) your violation of any term or condition of this Agreement, the right of any third party, or any other applicable law, rule, or regulation; (c) any other party's access and use of the Service with your assistance or using any device or wallet that you own or control; (d) any dispute between you and any other user of the Service; or (e) your use of User-Imported Skills --- # Agent Instructions: Querying This Documentation If you need additional information that is not directly available in this page, you can query the documentation dynamically by asking a question.
