# Terms and Conditions

Effective Date: 9 June 2026

### 1. Introduction

These Terms and Conditions (the "Terms" or this "Agreement") govern your access to and use of Byreal Predict, a prediction market interface that allows you to access, view and place orders on event-based outcome markets routed to one or more Underlying Protocols (the "Service" or "Predict"), provided by Terra Tech Limited (the "Company", "we", "us" or "our"). These Terms form a binding agreement between the Company and you, as an individual user ("you", "your" or "User").

These Terms are supplemental to and form part of the[ Byreal Terms and Conditions](https://docs.byreal.io/legal/terms-and-conditions) (the "Byreal Terms"). Capitalised terms used in these Terms are defined in Section 25 or, if not defined therein, have the meaning given in the Byreal Terms. In the event of conflict between these Terms and the Byreal Terms, these Terms shall prevail with respect to the use of Predict.

By accessing or using Predict, you confirm that you have read, understood, and agreed to be bound by these Terms and the Byreal Terms, along with our[ Privacy Policy](https://docs.byreal.io/legal/privacy-policy). You further acknowledge that orders submitted through Predict are routed to and executed on third-party Underlying Protocols, and that you are subject to the terms, rules and resolution mechanisms of those protocols. If you do not agree to these Terms, you must immediately cease using Predict.

### 2. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREDICT IS PROVIDED “AS IS”, AT YOUR OWN RISK, AND WITHOUT WARRANTIES OF ANY KIND.  The Company does not control the Underlying Protocols, the Oracle, the smart contracts, or the resolution of any market. By using or accessing Predict, you agree that no developer or entity involved in creating, deploying or maintaining Predict will be liable for any claims or damages whatsoever associated with your use, inability to use, or your interaction with other users of, the Service, including any direct, indirect, incidental, special, exemplary, punitive or consequential damages, or loss of profits, Digital Assets, or anything else of value.

YOU ACKNOWLEDGE THAT WE ARE NOT RESPONSIBLE FOR ANY OF THESE VARIABLES OR RISKS, DO NOT OWN OR CONTROL THE UNDERLYING PROTOCOLS OR ORACLES, AND CANNOT BE HELD LIABLE FOR ANY RESULTING LOSSES THAT YOU EXPERIENCE WHILE ACCESSING OR USING THE SERVICE. ACCORDINGLY, YOU UNDERSTAND AND AGREE TO ASSUME FULL RESPONSIBILITY FOR ALL OF THE RISKS OF ACCESSING AND USING PREDICT.

No Brokerage, Advisory or Portfolio Management Service. Predict is an interface and order-routing tool, not a broker, advisor, fiduciary, portfolio manager, asset manager, or counterparty. The Company does not act as your counterparty in any market, does not match orders, and does not custody, hold, or control any Digital Asset, Outcome Token or pUSD on your behalf. Where Predict displays prices, probabilities, market data, recommendations, or AI-generated suggestions, such output is informational only, may be generated algorithmically, may be in error or hallucination, and does not constitute advice. Nothing on the Service shall constitute or be construed as a recommendation, endorsement, offer, invitation or solicitation to enter into any transaction or to purchase any Digital Asset or Outcome Token.

No Professional, Investment, or Legal Advice; No Gambling Services. The Service is not intended to provide tax, legal, insurance, gambling or investment advice. Predict is not, and is not intended to be, a casino, sportsbook, bookmaker, gaming operator, or licensed gambling service. The Company does not offer, accept, settle, or facilitate wagers on behalf of any User, and does not operate any gambling business in any jurisdiction. The legal characterisation of activity conducted through an Underlying Protocol varies by jurisdiction and may differ from how such activity is described in these Terms or in the user interface. Whether your activity on an Underlying Protocol is characterised under your local law as trading, prediction, gaming, gambling, an investment contract, a commodity, a derivative or otherwise — and whether such activity is lawful, licensed, or prohibited where you are located — is solely your responsibility to determine, and the Company's description of the Service does not constitute a representation that any such characterisation applies in your jurisdiction. You alone are solely responsible for determining whether the use of Predict, and any market or order, is lawful, suitable, and appropriate for you, and you should consult an attorney, tax professional or other qualified advisor regarding your specific situation.

You agree and understand that: (a) all orders you submit through the Service are considered unsolicited, which means that they are solely initiated by you; (b) you have not received any investment, gambling or other advice from us in connection with any order; and (c) we do not conduct a suitability review of any order you submit.

### 3. Eligibility

You must be at least the age of majority in your jurisdiction (and in any event no younger than eighteen (18) years old) and have the full right, power, and authority to enter into and comply with the terms and conditions of this Agreement. If you are entering into this Agreement on behalf of an entity, you represent that you have the legal authority to bind such entity.

Predict is subject to the same eligibility requirements and Prohibited Jurisdictions as set out in the Byreal Terms, including restrictions on users located in, incorporated in, or citizens or residents of jurisdictions subject to sanctions enforced by the United States (OFAC), the European Union, the United Nations, or the United Kingdom. You represent and warrant on an ongoing basis that you are not located in any Prohibited Jurisdiction and are not a Prohibited Party.

In addition, the Underlying Protocols impose their own geographic restrictions, and the Service maintains a list of Restricted Jurisdictions that is aligned with, and no less restrictive than, the geographic restrictions of the relevant Underlying Protocol. The Company may, and does, designate additional Restricted Jurisdictions independently of any Underlying Protocol. Without limiting any other restriction, you represent and warrant that you are not located in, ordinarily resident in, a citizen of, or accessing the Service from any Restricted Jurisdiction.

As at the Effective Date, the Restricted Jurisdictions in which the Service is not available comprise:

(a) the following countries and territories: the mainland of the People's Republic of China, Australia, Belarus, Belgium, Burundi, the Central African Republic, the Democratic Republic of the Congo (Kinshasa), Cuba, Ethiopia, France, Germany, Iran, Iraq, Italy, Japan, Lebanon, Libya, Myanmar, Nicaragua, North Korea, Poland, Russia, Singapore, Somalia, South Sudan, Sudan, Syria, Taiwan, Thailand, the United Kingdom, the United States of America (including its territories and the United States Minor Outlying Islands), Venezuela, Yemen, and Zimbabwe;

(b) the following regions within otherwise accessible countries: the province of Ontario (Canada), and the regions of Crimea, Donetsk, and Luhansk (Ukraine); and

(c) any other jurisdiction or region designated by the Company or by the Underlying Protocol from time to time as restricted.

Close-only jurisdictions. In certain jurisdictions (as at the Effective Date, Poland, Singapore, Taiwan, and Thailand), the Service may operate on a "close-only" basis, meaning that you may close or redeem existing positions but may not open new positions or make new deposits. The set of close-only jurisdictions may change at any time without notice.

The list of Restricted Jurisdictions may change at any time without notice, and the Company will conform the Service to the Underlying Protocol's restrictions as they are updated. Permissions may be enforced on the basis of your physical location rather than your residency. You further acknowledge that certain market categories (including, where applicable, markets on sports, political, or other real-world events) may be unlawful or constitute prohibited gambling in your jurisdiction even where access to the Service generally is not restricted, and you are solely responsible for refraining from accessing or trading any such market that is unlawful where you are located. You acknowledge that the Service may employ geo-blocking measures (including IP-based detection) and that circumvention of any such measure (including via VPN, proxy, Tor, false declarations, or any other means) is strictly prohibited and is a material breach of these Terms and of the Underlying Protocol's terms. You agree that any losses arising from your use of the Service from a Restricted Jurisdiction, or from any subsequent suspension, freeze, void or termination of your access or positions, are borne solely by you.

The Company reserves the right to adjust eligibility requirements at any time, with or without notice, and has the sole discretion to accept or reject your registration with the Service.

### 4. Service Overview

Predict is a non-custodial interface that allows you to (a) view event-based markets and price data sourced from Underlying Protocols, (b) bridge Digital Assets across Supported Blockchains in order to fund a wallet capable of interacting with the Underlying Protocol, (c) construct and submit unsigned orders to the Underlying Protocol's order book or smart contracts for signing through your wallet, (d) view your Outcome Token positions, profit and loss, and resolution status, and (e) optionally interact with the AI-powered RealClaw Co-pilot to obtain natural-language assistance with order construction (subject to additional terms in Section 12).

Predict is currently primarily integrated with Polymarket (operated by independent third parties) as the Underlying Protocol, with order matching performed by Polymarket's Central Limit Order Book ("CLOB") and settlement performed on Polygon in pUSD. The set of Underlying Protocols, Supported Blockchains, settlement assets, market categories (including but not limited to sports, politics, economics and entertainment), and supported wallet providers may change at any time without notice.

The Service operates as described in the product documentation available on our website, which is incorporated herein by reference. In the event of conflict between the product documentation and these Terms, these Terms shall prevail.

Beta Notice. Predict may be offered in beta, early access, or preview form. Beta features may be unstable, contain bugs, or be modified or discontinued at any time without notice. Your use of any beta feature is at your own risk, and the Company makes no guarantees regarding the availability, reliability, or continued operation of beta features.

### 5. Non-Custodial Nature

Predict is a non-custodial service. We do not hold, control, or have access to your private keys, seed phrases, Digital Assets, pUSD, or Outcome Tokens at any time. All orders are constructed by Predict as unsigned payloads and signed through your wallet — the Company never touches your keys. Once signed, orders are submitted to the Underlying Protocol's CLOB or smart contracts; the Company does not act as a counterparty, custodian, intermediary, settlement agent or clearing house in respect of any order or position. Any convenience function that submits or invokes on-chain transactions on your behalf (including the automatic redemption described in Section 10 and the automated features described in Section 11) operates only on the basis of transactions signed by, or authorisations granted in advance through, your own wallet, and does not transfer custody or control of your assets to the Company.

Where you use a Privy Wallet provided by Privy, Inc. ("Privy") in connection with the Service, the Company does not develop, operate, control, or audit Privy's infrastructure. Your use of the Privy Wallet is subject to Privy's own terms of service and privacy policy. Where you connect another self-custodied wallet (including but not limited to MetaMask, Phantom, or any hardware wallet), your use of such wallet is similarly subject to that wallet provider's own terms. The Company makes no representation or warranty regarding the security, availability, or continued operation of any wallet provider. In the event that any wallet provider experiences downtime, security breaches, discontinuation of service, or changes to its terms, the Company shall not be liable for any resulting loss of access to your wallet, Digital Assets, pUSD, or Outcome Tokens.

You are solely responsible for the security of your wallet, your Communication Channel credentials, and your associated accounts. We accept no responsibility for wallet compromise, key loss, or third-party infrastructure failures.

This Agreement is not intended to, and does not, create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated.

### 6. Orders, Order Types and Finality

Predict supports order types as exposed by the Underlying Protocol from time to time, which may include limit (GTC, GTD), fill-or-kill (FOK), fill-and-kill (FAK), and other order types. Order parameters, minimum tick sizes, lot sizes, slippage protection bands, matching latency, and rate limits are determined by the Underlying Protocol and may change without notice.

You acknowledge and accept that:

● once an order is submitted to the Underlying Protocol's CLOB or smart contract, it may be matched and settled on-chain in seconds, and all transactions executed through the Service are final and irreversible once confirmed on-chain, and cannot be cancelled, modified, or reversed by the Company under any circumstances;

● the Company does not offer refunds, reversals, or compensation, including but not limited to user error, AI misinterpretation, slippage within the protocol's bands, partial fills, network congestion, latency, or temporary outages of the Underlying Protocol or its API, except where required by applicable law;

● the Company does not guarantee that any order will be accepted, matched, partially filled, fully filled, settled within any particular time, or settled at any particular price, and is not liable if an order is rejected, cancelled, expired, partially filled, or executed at a less favourable price than expected;

● for sports and other live markets, the Underlying Protocol may impose additional rules (including matching delays of approximately one (1) second, automatic cancellation of resting orders upon event start, or trading halts), and you accept all consequences of such rules.

You are solely responsible for setting appropriate parameters (including price, size, slippage tolerance, and any time-in-force selections) and for monitoring the status of your orders and positions.

Routing and no best-execution guarantee. Where Predict displays markets from, or routes orders to, more than one Underlying Protocol, the Company selects and routes on a reasonable-efforts basis only and does not act as a broker or execution agent. The Company does not guarantee that any displayed price, market, or route represents the best price or best execution available across all Underlying Protocols or elsewhere, and you acknowledge that the same or a similar market may be available on another protocol or venue at a more favourable price, with greater liquidity, or on different terms. Comparable markets on different Underlying Protocols may settle in different assets, follow different resolution criteria and Oracles, and impose different fees; you are responsible for confirming which market and protocol you are trading on before submitting an order.

### 7. Market Resolution, Oracle, and Disputes

Each market available through Predict is resolved exclusively by the resolution mechanism of the Underlying Protocol on which that market is hosted. Different Underlying Protocols use different resolution mechanisms (each, an "Oracle"), which may include, without limitation, an optimistic oracle (such as UMA, currently used by Polymarket), an AI-based or multi-agent oracle, a decentralised data-feed oracle (such as Chainlink), a committee or governance process, or any combination of the foregoing. The Company does not operate, control, audit, train, vote in, or otherwise participate in any Oracle, and the Company does not determine the resolution of any market.

You acknowledge and accept that:

● the outcome of any market is determined by the Oracle in accordance with the resolution criteria, evidence sources, and rules published by the Underlying Protocol for that market, and not by the Company;

● a market may be subject to a dispute, re-vote, or extended resolution period (typically forty-eight (48) to ninety-six (96) hours, or longer), during which Outcome Tokens may not be redeemable and your funds may be locked in the smart contract;

● the Oracle may resolve a market in a manner that you, third parties, or the Company consider incorrect, ambiguous, or inconsistent with publicly reported events, and you have no recourse against the Company for any such resolution;

● in the event of a force majeure, postponement, cancellation, abandonment, replay, or material change to a sports event or other underlying real-world event, the Underlying Protocol may resolve the market as Yes, No, void, 50/50, or in any other manner specified by its rules, and the Company is not liable for any resulting outcome;

● where an Oracle relies on automated, AI-based, or data-feed resolution, it may misclassify, misread, hallucinate, or incorrectly resolve a market (including by ingesting erroneous or manipulated source data), and you have no recourse against the Company for any such resolution;

● you are solely responsible for reading and understanding the resolution criteria of any market before placing an order, including any tie-breaking rules, deadlines, and source-of-truth definitions.

No appeal to the Company. The Company has no authority to modify, override, reverse, or appeal any market resolution, dispute outcome, or Oracle decision, and will not act as an arbitrator between you and any other User or counterparty. For the avoidance of doubt, no dispute resolution, arbitration, or claims procedure available to you under the Byreal Terms or these Terms (including under Section 22) requires, or shall be construed to require, the Company to adjudicate, override, or compensate for any resolution of any market or any decision of the Oracle, all of which are governed exclusively by the rules of the relevant Underlying Protocol.

### 8. Cross-Chain Bridging and pUSD

To interact with markets settled in pUSD on Polygon, you may need to bridge Digital Assets across blockchains. Predict integrates third-party bridging services (which may include, without limitation, fun.xyz, Relay.link, Circle CCTP, or any successor providers). Bridging routes, fees, latencies, slippage, and supported assets are determined by the relevant third-party bridge provider and may change at any time.

You acknowledge and accept that:

● bridging involves additional risks not present in single-chain transactions, including (without limitation) bridge solver insolvency or default, bridge smart contract bugs or exploits, attestation delays or failures, depeg or freezing of intermediate stablecoins, miscredited or misrouted transfers, and refund or recovery delays of indeterminate length;

● pUSD is a third-party stablecoin issued and operated independently of the Company; the Company does not issue, mint, redeem, audit, or guarantee the value, redeemability, or peg of pUSD; pUSD may lose its peg, be frozen, be re-issued, or be discontinued, and the Company is not liable for any resulting loss;

● bridging fees and slippage are not controlled by the Company and may exceed the estimates displayed in the user interface in the event of network conditions, solver pricing, or third-party fee changes;

● the Company does not guarantee the speed, success, or completion of any bridge transaction.

### 9. Fees

Use of Predict may involve multiple categories of fees, including:

● Builder Fees: a markup fee charged by the Company as an authorised "Builder" of the Underlying Protocol, expressed in basis points of order notional and disclosed in the user interface prior to order confirmation. Builder Fees may differ across surfaces (such as the Byreal frontend, RealClaw Co-pilot, and B2B API integrations) and may change from time to time, subject to the rate-change rules of the Underlying Protocol.

● Underlying Protocol Fees: any platform, taker, maker, or settlement fees charged by the Underlying Protocol in accordance with its published fee schedule. These fees are not controlled by the Company.

● Bridge Fees: fees charged by third-party bridge providers, as described in Section 8.

● Gas Fees: blockchain transaction fees payable to the relevant network. You will be solely responsible to pay the Gas Fees for any transaction initiated through the Service. Gas Fees are separate from any fees paid to the Company and are not controlled by the Company. Where the Underlying Protocol or a Relayer sponsors gas under a "gasless" flow, such sponsorship may be modified or revoked at any time without notice.

● AI Usage Fees / Credits: where you interact with the RealClaw Co-pilot, additional Credit consumption may apply in accordance with the[ RealClaw Terms](https://docs.byreal.io/realclaw/realclaw-terms-and-conditions).

All fees are non-refundable to the extent permitted by applicable law. Estimated fees displayed in the user interface are best-effort estimates only and may differ from actual fees paid.

### 10. Outcome Tokens and Position Lifecycle

Markets on the Underlying Protocol are typically represented as ERC-1155 conditional outcome tokens ("Outcome Tokens", such as "Yes" and "No" tokens for binary markets, or one token per outcome for multi-outcome markets). You acknowledge and accept that:

● Outcome Tokens are issued by the Underlying Protocol, not by the Company;

● prior to resolution, Outcome Token prices fluctuate between $0.00 and $1.00 based on supply and demand, and may move sharply, gap, or become illiquid;

● after resolution, the winning Outcome Token is redeemable for $1.00 of pUSD per token and the losing Outcome Token is worth $0.00;

● redemption of Outcome Tokens is performed on-chain by calling the Underlying Protocol's redemption function. As a convenience, and only on the basis of a transaction signed through, or an authorisation granted in advance by, your own wallet, Predict may construct or invoke such a redemption on your behalf; this convenience does not make the Company a custodian of, or responsible for, your Outcome Tokens, is provided subject to availability, and is not guaranteed to occur within any particular time;

● you are solely responsible for monitoring your positions, redeeming winning Outcome Tokens, and managing any open or unredeemed positions, including in the event the Service or your access to it is suspended, terminated, or otherwise unavailable. Outcome Tokens remain on-chain and under the control of your wallet regardless of the status of the Service, and the Company is under no obligation to close, unwind, redeem, or otherwise manage any position on your behalf.

### 11. Automated Features (Take-Profit, Stop-Loss, Copy Strategies)

Predict may offer automated features such as take-profit, stop-loss, conditional orders, recurring orders, and copy-strategy functions. You acknowledge and accept that:

● automated features rely on price feeds, monitoring jobs, and execution paths that may fail, lag, or produce unintended outcomes due to market gaps, illiquidity, oracle delays, or third-party outages;

● a take-profit or stop-loss trigger does not guarantee execution at the trigger price; actual execution may occur at a worse price or not at all;

● once activated, an automated feature may submit transactions, on the basis of authorisations you have granted in advance through your wallet, without per-transaction confirmation; to the maximum extent permitted by the law, the Company is not liable for any losses arising from automated execution, including losses caused by AI misinterpretation, parameter misconfiguration, or third-party data errors, except to the extent directly caused by the Company’s gross negligence, fraud, or wilful misconduct;

● you are responsible for reviewing, configuring, and disabling automated features, and for closing any positions if you cease using the Service.

### 12. RealClaw Co-pilot (AI Features)

Where you interact with Predict through the RealClaw Co-pilot or any other AI-powered feature ("AI Features"), the following apply in addition to (and, to the extent of any conflict, in priority over) the[ RealClaw Terms](https://docs.byreal.io/realclaw/realclaw-terms-and-conditions):

● AI Features rely on Third-Party LLMs that are not developed, trained, controlled, or audited by the Company. Third-Party LLMs may produce inaccurate, misleading, or fabricated outputs ("hallucinations"), including incorrect interpretation of your natural-language Prompts, selection of the wrong market, misreading of odds or probabilities, fabricated event data, or recommendations to enter positions you did not intend.

● The Company is not liable for any losses arising from the AI's interpretation or misinterpretation of your Prompts, regardless of cause. You are solely responsible for reviewing each confirmation card or transaction summary presented to you before signing, and for ensuring that the proposed order matches your intent.

● AI outputs do not constitute advice, recommendations, or guarantees. You must exercise your own independent judgment.

● The specific LLM providers, prompt templates, system messages, and Skills available through the AI Features may change at any time without notice.

### 13. Third-Party Surfaces and B2B Integrations

Predict may be made available through third-party surfaces, including (without limitation) the Bybit Alpha integration, embedded widgets in third-party applications, or other B2B partner integrations (each a "Third-Party Surface"). Where you access Predict through a Third-Party Surface:

● the Third-Party Surface is operated by an independent third party who is solely responsible for the user interface, account management, KYC/AML compliance (if any), geographic restrictions on its surface, balance management, fund custody (if applicable), and customer support on that surface;

● the Company provides only the underlying order-routing API and does not maintain a direct relationship with you in respect of the Third-Party Surface beyond what is set out in these Terms;

● your use of the Third-Party Surface is additionally governed by that party's own terms of service and privacy policy;

● the Company is not liable for any acts, omissions, failures, security incidents, freezes, or insolvency of any Third-Party Surface or its operator, and is not liable for any losses arising from the operation of such Third-Party Surface.

### 14. Underlying Protocols and Forks

Predict interacts with third-party decentralised protocols (the "Underlying Protocols", currently primarily Polymarket) to display markets, route orders, and settle positions. The Company does not develop, own, operate, control, or audit any Underlying Protocol. The Company makes no representation or warranty regarding the security, accuracy, availability, fairness, listing standards, market design, fee schedule, resolution mechanism, or continued operation of any Underlying Protocol or its smart contracts.

The Company shall not be liable for any losses arising from bugs, exploits, hacks, governance actions, listing decisions, delistings, market voids, frozen markets, oracle failures, dispute outcomes, liquidity crises, or any other event affecting an Underlying Protocol, whether or not such protocol is integrated into the Service. Your interaction with Underlying Protocols through Predict is at your own risk. Where the Underlying Protocol modifies its API, fees, eligibility rules, or supported jurisdictions, Predict will conform its behaviour accordingly and any resulting impact on your access, orders, or positions is borne solely by you.

In the event of a blockchain split or "fork" involving any Supported Blockchain or Digital Asset, the Company reserves the sole discretion to determine which forked chain (if any) will be supported. We have no obligation to support or distribute assets from either chain and will not be liable for any loss of value or access as a result of such events. The same applies to chain reorganisations, halts, or migrations affecting Polygon, Solana, or any other Supported Blockchain.

### 15. User Responsibilities and Prohibited Conduct

You are solely responsible for:

● the security of your wallet, Communication Channel credentials, and account credentials;

● reading, understanding, and accepting the resolution criteria, fee schedule, geographic restrictions, and rules of each Underlying Protocol and each market before placing any order;

● the accuracy and appropriateness of your orders, including price, size, slippage tolerance, time-in-force selections, and any AI Prompts;

● monitoring your positions, balances, and the status of orders, including during periods of disputed or pending resolution;

● ensuring that your access to and use of Predict, and the placement of any order, is lawful in your jurisdiction, including under any applicable gambling, gaming, securities, commodity, derivatives, consumer protection, anti-money laundering, sanctions, or tax laws;

● complying with all applicable laws and regulations, including tax reporting and withholding obligations arising from any positions or settlements; and

● maintaining your own records of your activity sufficient for any tax, accounting, or regulatory purpose.

You shall not, and shall not attempt to, use Predict to:

● access the Service from a Restricted Jurisdiction, or to circumvent any geo-blocking, age-verification, sanctions screening, or eligibility check (including via VPN, proxy, Tor, falsified declarations, multiple accounts, or any other means);

● facilitate illegal activities, money laundering, terrorist financing, sanctions evasion, market manipulation, fraud, bribery, or any other unlawful act;

● trade on the basis of material non-public information, including (without limitation) match-fixing information, undisclosed event outcomes, insider knowledge of sports, political, economic or entertainment events, or any other information obtained in breach of a duty of confidentiality;

● engage in wash trading, spoofing, layering, front-running, pump-and-dump schemes, collusive trading, self-dealing, or any other deceptive or manipulative practice;

● introduce malicious code, software viruses, or attempt unauthorized access to the Service, the Underlying Protocols, or any third-party infrastructure;

● override, reverse-engineer, or prompt-inject around safety filters or safeguards of the Service or AI Features;

● circumvent fee limits, Builder Fee structures, eligibility restrictions, or rate limits through multiple accounts, sybil identities, or unauthorized scripts;

● reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of Predict or its components;

● harvest or collect information about other Users without their express consent;

● conduct frequent, intensive automated interactions using unauthorized tools, bots, or scripts; or

● create, propose, promote, or trade markets on outcomes that are unlawful in your jurisdiction (including, where applicable, markets on the death, injury, or disgrace of identifiable persons, or on outcomes that constitute prohibited gambling under your local law).

We reserve the right, but do not have the obligation, to restrict, suspend, or terminate your access if we reasonably believe you are engaged in any prohibited activity, and to cooperate with law enforcement, regulators, and the operators of any Underlying Protocol or Third-Party Surface in respect of any such conduct.

### 16. Data and Privacy

Your Prompts, AI outputs, order data, position data, and on-chain activity data are processed in accordance with the[ Byreal Privacy Policy](https://docs.byreal.io/legal/privacy-policy). For the purposes of applicable data protection laws, the Company (Terra Tech Limited) is the controller of personal data processed in connection with Predict, except where these Terms or the Byreal Privacy Policy state otherwise. The Company processes such data on the legal bases set out in the Byreal Privacy Policy, which include the performance of this Agreement, compliance with the Company's legal obligations (including sanctions screening and eligibility enforcement), and the Company's legitimate interests in operating, securing, and improving the Service.

Data transmitted to third parties. To provide the Service, the Company transmits data to (and receives data from) Underlying Protocols, bridge providers, wallet providers, AI Features' Third-Party LLM providers, and analytics providers. Such providers may be located in jurisdictions outside your country of residence, and accordingly your personal data may be transferred to, and processed in, countries that may not provide the same level of data protection as your home jurisdiction. Where required by applicable law, such cross-border transfers are made subject to appropriate safeguards (such as standard contractual clauses or equivalent mechanisms) as described in the Byreal Privacy Policy. The Company does not control how such third parties process data once transmitted. You should not include sensitive personal data of third parties in your Prompts.

On-chain transparency. You acknowledge that orders, positions, and settlements are recorded on public blockchains and are visible to anyone, and that on-chain activity may be associated with your wallet address indefinitely. The Company does not control, and cannot redact, on-chain data.

Geographic and device data. The Company may collect IP addresses, device fingerprints, geolocation signals, and similar data to enforce eligibility and detect prohibited conduct. By using the Service, you consent to such collection.

Data deletion. You may request access to, correction of, or deletion of your personal data, and may exercise any other rights available to you under applicable data protection laws, by contacting us at the contact details published on our website. Such requests will be processed in accordance with applicable data protection laws. Certain data may be retained where required by law or for legitimate business purposes, and on-chain data cannot be deleted.

### 17. Intellectual Property

All title, ownership rights, and intellectual property rights in or relating to Predict, including the user interface, order-routing logic, AI Features, and the underlying software, will remain with the Company or its licensors. Nothing in the Service will be construed as conferring on any User any license, save as expressly set out herein, of any of the Company's or any third party's intellectual property rights, whether by estoppel, implication or otherwise.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not modify, reproduce, reverse-engineer, or create derivative works of the Service.

You retain ownership of your Digital Assets, pUSD, and Outcome Tokens. Nothing in these Terms transfers any right, title, or interest in your assets to the Company.

You grant the Company a perpetual, royalty-free, worldwide licence to use anonymised and aggregated data derived from your use of Predict for the purpose of improving our products and services.

### 18. Risk Disclosure

By using Predict, you acknowledge and accept the following risks, and you assume all risk of loss associated with your use of the Service. This is not an exhaustive list:

● Total loss risk. Outcome Tokens may resolve to $0.00. You may lose 100% of the amount you commit to a position, and you should not commit funds you cannot afford to lose.

● Market risk. Outcome Token prices and Digital Asset prices are highly volatile and may move sharply against you, gap, or become illiquid prior to resolution.

● Resolution and Oracle risk. Markets are resolved by a third-party Oracle (currently UMA) whose decisions may be incorrect, ambiguous, disputed, delayed, or contrary to your expectations. The Company has no authority to modify or appeal any resolution.

● Postponement, cancellation, and abandonment risk. Real-world events (including sports matches, elections, and economic data releases) may be postponed, cancelled, replayed, abandoned, or materially altered, in which case the Underlying Protocol may resolve the market as Yes, No, void, 50/50, or otherwise per its rules.

● Smart contract risk. Underlying Protocols rely on smart contracts that may contain bugs or be subject to exploits. The Company does not control or modify the execution of such contracts once deployed.

● Liquidity risk. Markets, especially in early-stage or niche events, may have thin order books, wide spreads, or no bids at all, and you may be unable to enter, exit, or hedge a position at a fair price.

● Bridging and stablecoin risk. Cross-chain bridging may fail, lag, or be exploited; pUSD or other stablecoins may depeg, be frozen, or be discontinued.

● MEV and front-running risk. On-chain transactions may be observed by third parties before confirmation and may be subject to sandwich attacks, front-running, or other forms of Maximal Extractable Value (MEV) extraction, resulting in worse execution prices or additional losses.

● Automated execution risk. Take-profit, stop-loss, conditional, recurring, or copy strategies may execute automatically at unfavourable prices or fail to execute when expected.

● AI risk. AI Features may misinterpret Prompts, hallucinate, or recommend incorrect markets or parameters, resulting in unintended orders with real funds.

● LLM risk. Third-Party LLMs may hallucinate, fabricate data, or become unavailable. The Company has no control over LLM quality or uptime.

● Wallet and custody infrastructure risk. Loss of access to your wallet, credential compromise, or failures in Privy's or any other wallet provider's infrastructure may result in permanent loss of assets.

● Network risk. Blockchain congestion, outages, forks, or reorganisations on Polygon, Solana, or other Supported Blockchains may prevent or delay transactions.

● Underlying Protocol risk. Polymarket and any other Underlying Protocol may suffer exploits, governance changes, fee changes, listing or delisting decisions, regulatory enforcement, or discontinuation, any of which may impact your access to markets or your positions.

● Third-Party Surface risk. Bybit Alpha or any other Third-Party Surface may suspend, freeze, or terminate your access on its surface, and the Company is not liable for any such action.

● Regulatory and legal risk. Prediction markets, event-based contracts, and on-chain trading are subject to evolving and inconsistent regulation across jurisdictions. The Service may become unavailable in your jurisdiction, or your activity may be reclassified (including as gambling, securities, swaps, or commodity transactions) under your local law.

● Tax risk. Trading and settlements on Predict may create complex tax events. The Company does not provide tax advice and is not responsible for your tax obligations.

● Communication Channel risk. Compromise of your Communication Channel may result in unauthorized instructions being executed on your behalf.

● Sports integrity risk. Sports outcomes may be affected by match-fixing, refereeing controversies, weather, injuries, or other unpredictable factors. The Oracle resolves markets based on its published source-of-truth, regardless of any controversy.

You assume full responsibility for all risks of using Predict.

### 19. Limitation of Liability

You expressly agree that you assume all risks in connection with your access and use of the Service. You further expressly waive and release us from any and all liability, claims, causes of action, or damages arising from or in any way relating to your use of the Service, except as set out in this Section 19.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, LICENSORS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF PREDICT, INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM:

● ORDER EXECUTION, NON-EXECUTION, PARTIAL EXECUTION, REJECTION, CANCELLATION, OR FINALITY;

● MARKET RESOLUTION, ORACLE DECISIONS, DISPUTES, VOIDS, POSTPONEMENTS, OR ABANDONMENTS;

● AI ERRORS, MISINTERPRETATION OF PROMPTS, OR HALLUCINATIONS;

● AUTOMATED FEATURES INCLUDING TAKE-PROFIT, STOP-LOSS, AND COPY STRATEGIES;

● THIRD-PARTY LLM FAILURES, OUTAGES, OR DISCONTINUATION;

● BRIDGING FAILURES, DELAYS, OR LOSSES, AND DEPEG OR DISCONTINUATION OF pUSD OR ANY OTHER STABLECOIN;

● UNDERLYING PROTOCOL EXPLOITS, BUGS, GOVERNANCE ACTIONS, FEE CHANGES, LISTING OR DELISTING DECISIONS, OR DISCONTINUATION;

● THIRD-PARTY SURFACE ACTS, OMISSIONS, FREEZES, OR INSOLVENCY (INCLUDING BYBIT ALPHA OR ANY OTHER B2B PARTNER);

● WALLET PROVIDER (INCLUDING PRIVY) INFRASTRUCTURE FAILURES OR SECURITY BREACHES;

● MEV EXTRACTION, FRONT-RUNNING, OR SANDWICH ATTACKS;

● GEO-BLOCKING, ELIGIBILITY ENFORCEMENT, OR REGULATORY ACTION AGAINST THE UNDERLYING PROTOCOL OR THE COMPANY;

● UNAUTHORIZED INSTRUCTIONS VIA COMPROMISED COMMUNICATION CHANNELS OR WALLETS; OR

● ANY OTHER PARTY'S ACCESS AND USE OF THE SERVICE WITH YOUR ASSISTANCE OR USING ANY DEVICE OR WALLET THAT YOU OWN OR CONTROL.

SUBJECT TO THE PARAGRAPHS BELOW, IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF BUILDER FEES AND AI USAGE FEES ACTUALLY PAID BY YOU TO THE COMPANY IN CONNECTION WITH THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED US DOLLARS (US$100). Where mandatory consumer protection laws in your jurisdiction provide for a higher minimum liability threshold, that higher threshold shall apply to the extent required by such laws.

We make no warranties or representations, express or implied, about linked third-party services, the third parties they are owned and operated by, the information contained on them, or assets available through them. You acknowledge sole responsibility for and assume all risk arising from your use of third-party services, third-party websites, applications, or resources.

Carve-outs. Nothing in these Terms excludes or limits the Company's liability for (a) fraud or fraudulent misrepresentation, (b) wilful misconduct or gross negligence (to the extent such liability cannot be excluded under the governing law), (c) death or personal injury caused by the Company's negligence, or (d) any other liability that cannot lawfully be excluded or limited under applicable law.

Consumer rights. If you are a consumer, you may have statutory rights under the law of your country of residence that cannot be excluded, restricted, or modified by contract. Nothing in these Terms excludes, restricts, or modifies any such non-excludable statutory right, and the limitations and exclusions in these Terms apply only to the extent permitted by the law applicable to you.

NO REFUNDS ARE PROVIDED FOR ANY ORDERS, POSITIONS, OR FEES PAID THROUGH THE SERVICE, EXCEPT WHERE REQUIRED BY APPLICABLE LAW.

### 20. Indemnification

You agree to hold harmless, release, defend, and indemnify the Company, our affiliates and our and our affiliates' respective officers, directors, employees, contractors, agents, service providers, licensors, and representatives (collectively, the "Indemnified Parties") from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or relating to: (a) your violation of these Terms in connection with your access and use of the Service; (b) your violation of any term or condition of this Agreement, the rules of any Underlying Protocol or Third-Party Surface, the right of any third party, or any other applicable law, rule, or regulation (including any gambling, gaming, securities, commodity, derivatives, consumer protection, anti-money laundering, sanctions, or tax law); (c) any other party's access and use of the Service with your assistance or using any device or wallet that you own or control; (d) any dispute between you and any other user of the Service or any operator of an Underlying Protocol or Third-Party Surface; (e) your trading on the basis of material non-public information; or (f) your circumvention of any geo-blocking or eligibility check.

We reserve the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section, and you agree to cooperate with any reasonable requests assisting our defense of such matter. You may not settle or compromise any claim against any Indemnified Party without our written consent.

### 21. Term, Suspension and Termination

These Terms take effect when you first access or use Predict and remain in effect for as long as you access or use the Service, until terminated in accordance with this Section.

You may terminate this Agreement at any time by ceasing all use of the Service. The Company may, at its sole discretion and with or without notice, suspend, restrict, or terminate your access to all or part of the Service, in whole or in part, including where: (a) we reasonably believe you have breached these Terms, the Byreal Terms, or the rules of any Underlying Protocol or Third-Party Surface; (b) we are required to do so by applicable law, regulation, sanctions, or by an order of a court, regulator, or law-enforcement authority; (c) we reasonably believe your use poses a security, legal, reputational, or operational risk to the Company, the Underlying Protocol, or other Users; (d) the relevant Underlying Protocol, Third-Party Surface, or wallet, bridge, or LLM provider modifies, restricts, or discontinues the services on which Predict depends; or (e) we discontinue the Service or any feature.

Termination or suspension of access does not affect your Outcome Tokens, Digital Assets, or pUSD, which remain on-chain and under the control of your wallet. Upon termination or suspension, you remain solely responsible for monitoring, redeeming, closing, or otherwise managing any open or unredeemed positions, and the Company is under no obligation to do so on your behalf. The Company shall have no liability to you for any suspension, restriction, or termination of access made in accordance with these Terms.

Survival. The following Sections survive any termination or expiry of this Agreement: Section 2 (Disclaimer), Section 5 (Non-Custodial Nature), Section 7 (No appeal to the Company), Section 16 (Data and Privacy), Section 17 (Intellectual Property), Section 18 (Risk Disclosure), Section 19 (Limitation of Liability), Section 20 (Indemnification), this Section 21, Section 22 (Governing Law and Dispute Resolution), Section 24 (General Provisions), Section 25 (Definitions), and any other provision that by its nature is intended to survive.

### 22. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Singapore. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of at least one (1) arbitrator. The language of the arbitration shall be English.

### 23. Amendments to These Terms

The Company may amend, modify, or replace these Terms at any time. When we do, we will revise the "Effective Date" at the top of these Terms and post the updated Terms on our website or otherwise make them available through the Service. Where a change is material, we will use commercially reasonable efforts to provide additional notice (such as through the user interface, the Communication Channel, or our website) before the change takes effect.

Any amendment takes effect when posted, or on such later date as we specify. Your continued access to or use of the Service after the updated Terms take effect constitutes your acceptance of the amended Terms. If you do not agree to any amendment, you must stop using the Service before the amendment takes effect; your sole remedy is to cease using the Service. You are responsible for reviewing these Terms periodically.

### 24. General Provisions

Entire agreement. These Terms, together with the Byreal Terms, the Byreal Privacy Policy, the RealClaw Terms (where applicable), and any product documentation incorporated by reference, constitute the entire agreement between you and the Company in relation to the Service and supersede all prior agreements, representations, and understandings on the subject matter. In the event of conflict, the order of precedence set out in Section 1 applies.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed from these Terms, and the remaining provisions shall continue in full force and effect. In particular, if any limitation or exclusion of liability in Section 19 is held unenforceable in whole or in part, the remaining limitations and exclusions shall continue to apply to the maximum extent permitted by law.

No waiver. No failure or delay by the Company in exercising any right, power, or remedy under these Terms operates as a waiver of it, nor does any single or partial exercise of any right preclude any further exercise of it or of any other right. Any waiver must be in writing and signed by the Company.

Assignment. You may not assign, transfer, or delegate these Terms or any of your rights or obligations under them without our prior written consent, and any attempted assignment in breach of this provision is void. The Company may assign, transfer, or delegate these Terms or any of its rights and obligations, in whole or in part, without your consent, including to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

Notices. We may provide notices to you through the Service, the Communication Channel, our website, or any contact details you have provided. You may provide notices to us at the contact details published on our website. Notices are deemed received when posted or sent.

Force majeure. The Company is not liable for any delay or failure to perform, or for any unavailability of the Service, resulting from causes beyond its reasonable control, including (without limitation) acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, governmental or regulatory action, sanctions, changes in law, internet, telecommunications, cloud-infrastructure, or power failures, blockchain network congestion, outages, forks or reorganisations, smart-contract exploits, oracle failures, third-party provider outages, or labour disputes.

Third-party rights. Except for the Indemnified Parties (who may enforce Section 19 and Section 20), a person who is not a party to these Terms has no right to enforce any of their provisions.

Electronic communications and consent. You consent to receive communications from us electronically, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Language. These Terms are made in the English language. Any translation is provided for convenience only; in the event of any conflict or inconsistency between the English version and any translation, the English version prevails.

Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.

### 25. Definitions

Unless otherwise defined or the context otherwise requires, all capitalised terms shall have the meaning given to them in these Terms:

● "AI Features" means the RealClaw Co-pilot and any other AI-powered functionality made available through Predict.

● "Builder Fee" means a markup fee, expressed in basis points of order notional, charged by the Company in its capacity as an authorised "Builder" of the Underlying Protocol.

● "CLOB" means the Central Limit Order Book operated by the Underlying Protocol for matching orders.

● "Communication Channel" means any messaging interface (including but not limited to Telegram bots, web interfaces, mobile applications, or other supported platforms) through which the User interacts with the Service or AI Features.

● "Console" means the web management interface for Byreal Predict.

● "Credits" means the usage units consumed by AI Features, as defined in the RealClaw Terms.

● "Digital Assets" means digital tokens, cryptocurrencies, stablecoins, and any other blockchain-based assets.

● "Gas Fees" means the transaction fees payable to the relevant blockchain network for processing transactions.

● "Indemnified Parties" has the meaning given in Section 20.

● "Oracle" means the resolution mechanism used by an Underlying Protocol to resolve markets, which may include an optimistic oracle (such as UMA), an AI-based or multi-agent oracle, a decentralised data-feed oracle (such as Chainlink), a committee or governance process, or any combination of the foregoing.

● "Outcome Token" means a conditional outcome token (typically ERC-1155) issued by the Underlying Protocol, redeemable for pUSD (or another settlement asset) upon resolution of the relevant market.

● "Polymarket" means the third-party prediction market protocol operated by independent third parties, comprising the CLOB, smart contracts, and bridge interfaces accessible through clob.polymarket.com and related domains.

● "Privy" means Privy, Inc., the third-party embedded wallet provider.

● "Privy Wallet" means a non-custodial embedded wallet created for a User by Privy.

● "Prohibited Jurisdiction" has the meaning given in the Byreal Terms.

● "Prohibited Party" means any person or entity that is (a) the subject of any sanctions administered or enforced by the United States (including OFAC), the European Union, the United Nations, or the United Kingdom, (b) named on any list of sanctioned or restricted persons maintained by any such authority, (c) located in, organised under the laws of, or ordinarily resident in any Prohibited Jurisdiction, or (d) otherwise designated as a prohibited or restricted party under the Byreal Terms.

● "Prompt" means any instruction, question, or command provided by the User to an AI Feature.

● "pUSD" means the third-party USDC-backed stablecoin issued by independent third parties and used for settlement of Outcome Tokens on Polygon.

● "RealClaw Co-pilot" means the AI-powered Skill that allows Users to interact with Predict through natural language.

● "Relayer" means any third party that relays, broadcasts, or submits signed transactions to a blockchain network on a User's behalf, including under any "gasless" flow in which gas is sponsored.

● "Restricted Jurisdiction" means any jurisdiction listed in Section 3, or otherwise designated by the Company or any Underlying Protocol from time to time as restricted.

● "Service" or "Predict" means the Byreal Predict prediction market interface and order-routing service described in Section 4.

● "Skills" means modular software components that enable AI Features to perform specific operations.

● "Supported Blockchains" means the blockchain networks supported by the Service from time to time, which currently include (without limitation) Polygon and Solana.

● "Third-Party LLM" means a large language model provided by a third-party provider used by AI Features.

● "Third-Party Surface" means any third-party application, exchange, or interface (including, without limitation, Bybit Alpha) that integrates Predict via a B2B API or embedded widget.

● "Underlying Protocol" means a third-party decentralised protocol (currently primarily Polymarket) used to display markets, route orders, and settle positions.
